In business, companies tend to undertake legal actions to improve their company values. One of the legal actions commonly done by companies is acquisition. Acquisition is done by purchasing some shares or all shares of the company,so the shareholders have rights in managing the company. As a legal action causing the control change, the legal consequences of acquisition will affect both investors and the limited liability company. This background inspired the researcher to conduct a research entitled “Legal Consequences Of Share Purchase Resulted in Acquisition of Limited Liability Company”. This research focused on legal consequences on the acquired limited liability company. This is a normative research in which the data were collected from literature study and interview. The data of legal actions were analyzed using descriptive method. The findings show that acquisition will give the minority shareholders, employees, and creditors of a limited liability company some legal consequences. In addition, acqusitions may also cause legal consequences to the investors who take over responbilities of the previous management. Thus, the acquisition in the limited liability company should be done by taking considerations of the company’s interest, minority shareholders, employees, creditors as well as the investors. In its implementation, monopoly and unfair competition should be prevented since they may harm the society. The acquisition also should be done in accordance with the prevailing laws and regulations to bring positive impacts to the investors and the company itself.
